7-Day Integration Incentive Promotion Official Rules

VOID WHERE PROHIBITED. THIS PROMOTION IS OPEN TO PRIMARY ACCOUNT ADMINISTRATORS OF ELIGIBLE NEW VANTA CUSTOMERS THAT HAVE THEIR PRINCIPAL PLACE OF BUSINESS IN THE UNITED STATES OF AMERICA OR CANADA AND MEET THE ADDITIONAL ELIGIBILITY REQUIREMENTS DESCRIBED BELOW. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR REGULATION.‍

‍

‍The Vanta “Pizza with Ilma” 7-Day Integration Incentive Promotion (the “Promotion”) is a program where eligible Vanta customers may receive one (1) promotional incentive if they complete specified onboarding milestones within seven (7) calendar days of their Initial Login Date.

‍

1. BINDING AGREEMENT: By entering, you agree to these Official Rules, which form a binding contract between you and Vanta. ‍

‍

IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS, YOU MUST NOT AGREE TO THESE OFFICIAL RULES.‍ ‍SUBJECT TO APPLICABLE LAWS, THIS CONTRACT INCLUDES IMPORTANT LEGAL OBLIGATIONS, INCLUDING, WITHOUT LIMITATION, INDEMNITY OBLIGATIONS (SECTION 8).‍

‍

2. ELIGIBILITY: The Promotion is open to the primary account administrator (or equivalent primary administrative user) of a company that (i) is a new, direct Vanta customer (e.g., no renewals, expansions, indirect or managed service provider customers, or trial accounts), (ii) has their principal place of business in the United States of America or Canada, (iii) had between one (1) and fifty (50) employees at the time of execution of its initial subscription agreement or order form for Vanta services, and (iv) meets the qualification criteria set forth in Section 5, in each case at the time of its participation. Participation is limited to one (1) individual per eligible company, and only one (1) Reward may be issued per eligible company.

Persons or entities in any of the following categories are NOT eligible to participate: (a) Sponsor’s employees, contractors, consultants, or agents and their respective affiliates, and each of their respective companies, subsidiaries, advertising and promotion agencies; (b) suppliers of goods or services in connection with the Promotion; (c) persons who (i) are in the immediate family of any person in any of the preceding categories (including mother, father, sister, brother, daughter, son, spouse, grandmother, grandfather, children or grandchildren), regardless of where they live, or (ii) reside in the same household, whether related or not, as any person in any of the preceding categories; (d) persons or entities under U.S. export controls or sanctions, (e) government entities, public sector organizations, state-owned or state-controlled entities, and any officers, employees, or representatives thereof. All eligibility is subject to all national, provincial, municipal, territorial, federal, state and local laws and regulations. By participating in the Promotion, you unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of Sponsor, whose decisions shall be final and binding in all respects. By participating, you represent and warrant that you have authority to accept the Reward on behalf of the eligible company and that acceptance does not violate any applicable internal policies. ‍

3. SPONSOR: The Promotion is sponsored by Vanta, Inc. a Delaware corporation with a principal place of business at 655 Montgomery Street, Suite 1600, San Francisco CA, USA. (“Vanta” or “Sponsor”).‍

‍

4. PERIOD: The Promotion begins on or around March 9, 2026 (the “Promotion Launch”) and continues until the earliest of: (a) one (1) month from the Promotion Launch, (b) the first one hundred (100) eligible companies qualifying, or (c) termination of the Promotion by Sponsor in its sole discretion (the “Promotion Period”).‍ Sponsor reserves the right to suspend, modify, or terminate this Promotion at any time.

5. QUALIFICATION CRITERIA: To qualify, an eligible customer must: complete the following onboarding milestones within seven (7) calendar days of its Initial Login Date: (i) successful integration of Identity Provider, Version Control System, and Cloud Provider, (ii) remediation of at least one (1) non-passing test, and (iii) definition of at least three (3) policies within the Vanta platform. “Initial Login Date” means the first date on which any authorized user associated with the company successfully logs into the Vanta platform following execution of its initial subscription agreement or order form for Vanta services, as determined solely by Sponsor based on its internal system records. A company that satisfies the foregoing requirements and meets the eligibility criteria in Section 2 shall be deemed an “Eligible Company.” The primary account administrator (or equivalent primary administrative user) of an Eligible Company shall be deemed an “Eligible Participant”. No retroactive qualification will apply for onboarding activity completed prior to the Promotion Launch. All determinations regarding qualification, completion timing, eligibility, and order of qualification shall be made by Sponsor in its sole discretion based on its internal records, and such determinations shall be final and binding.

6. ENTRY: No separate submission is required to participate. Eligible Companies will be evaluated by Sponsor based on their onboarding activity during the Promotion Period, as reflected in Sponsor’s internal records. Sponsor is not responsible for technical errors, system failures, data inaccuracies, or other issues that may affect the tracking, recording, or evaluation of onboarding activity, including but not limited to any technical errors, platform latency, or synchronization delays caused by third-party integration partners that may affect the recording of milestones. Sponsor reserves the right, in its sole discretion, to disqualify any participant or company based on incomplete, inaccurate, or misleading information, or if Sponsor determines that the qualification criteria have not been satisfied.

7. REWARD: If Sponsor determines in its sole discretion that a company is an Eligible Company and is among the first one hundred (100) Eligible Companies to satisfy all qualification criteria during the Promotion Period, the Eligible Participant of such Eligible Company (the “Selected Participant”) shall be entitled to receive one (1) $100 USD DoorDash digital credit (the “Reward”). The Reward will be delivered electronically via email and may be subject to DoorDash’s terms and conditions (or those of any substitute reward provider selected by Sponsor), including but not limited to any expiration terms or policies included therein. This offer is limited to one (1) Reward per company. The Reward is non-transferable, non-exchangeable, and not redeemable for cash or credit. Offer void where prohibited. Selected Participants are solely responsible for any applicable taxes. Sponsor reserves the right to modify or end this Promotion at any time. Sponsor reserves the right in its sole discretion to substitute rewards of comparable value if the Reward listed is unavailable, in whole or in part, for any reason. By participating in the Promotion, each participant unconditionally accepts and agrees to comply with and abide by the decisions of the Sponsor, which shall be final and binding in all respects. If the Reward notification or the Reward is returned as undeliverable, or if the Selected Participant does not accept the Reward for any reason, the Reward will be forfeited and will not be re-awarded, in Sponsor’s sole discretion. All activities related to the Reward are at the Selected Participants’ own risk and subject to whatever restrictions are imposed by the entities that govern such activities. Sponsor will not reimburse or replace the Reward if the Reward is no longer accessible or restricted due to local regulations.

8. RESERVATION OF RIGHTS; RELEASE OF LIABILITY AND INDEMNITY

‍

Transmission of Information. Sponsor and its respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Released Parties") are not responsible for lost, late, incomplete, void, misdirected, unreadable or unintelligible data, records, onboarding activity, or communications.

‍

Fraud; Reservation of Rights. Sponsor reserves the right to cancel, suspend, and/or modify the Promotion, or any part of it, if any fraud, technical failures, or any other factors impair the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine Selected Participants from all non-suspect, Eligible Participants qualified up to time of such action or as otherwise deemed fair and appropriate by Sponsor. Sponsor, in its sole discretion, reserves the right to disqualify any individual or company it finds to be (a) tampering with the entry process or the operation of the Promotion, (b) acting in violation of the Official Rules, or (c) acting in a dishonest, fraudulent, unsportsmanlike or disruptive manner, and to void all associated entries. The preceding remedy in no way precludes Sponsor from taking legal or other actions against such individuals so as to protect its rights. Sponsor’s failure to enforce any provision of these Official Rules in a given circumstance does not constitute the waiver of such provision.

RELEASE AND INDEMNITY. By participating in the Promotion, you hereby release the Released Parties, and agree to indemnify, defend, and hold the Released Parties, and the other persons and entities involved in the development, production, and/or administration of the Promotion, harmless, from any and against all liability for losses, harm, damages, injury, costs, fees, and expenses, including without limitation, property damage, personal injury (including emotional distress), and/or death, arising from participating in the Promotion, any Promotion-related activity, and/or acceptance, receipt, possession or use/misuse of any Reward, and for any claims or causes of action based on publicity rights, defamation, or invasion of privacy and merchandise delivery.

9. PRIVACY: You acknowledge and agree that Sponsor may collect, store, share and otherwise process your personal data processed in connection with the Promotion, including, but not limited to, name, mailing address, phone number, and email address. Sponsor will use this information in accordance with its Privacy Policy (https://www.vanta.com/privacy), including for administering the competition and verifying your identity, postal address and telephone number as part of providing you any applicable Reward(s). ‍

10.TAXES: DISTRIBUTION OF REWARD(S) TO SELECTED PARTICIPANTS MAY BE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT IT TO COMPLY WITH ALL APPLICABLE STATE, FEDERAL, LOCAL AND FOREIGN (INCLUDING PROVINCIAL) TAX REPORTING AND WITHHOLDING REQUIREMENTS. ALL REWARDS WILL BE NET OF ANY TAXES Vanta IS REQUIRED BY LAW TO WITHHOLD. ALL TAXES IMPOSED ON REWARDS ARE THE SOLE RESPONSIBILITY OF THE SELECTED PARITICIPANTS. If a Selected Participant subject to such taxes fails to provide such documentation or comply with such laws, the applicable Reward(s) may be forfeited and Sponsor may, in its sole discretion, select an alternative Eligible Participant to receive the prize. ‍

‍

11. FORCE MAJEURE: If, for any reason, the Promotion (or any part thereof) is not capable of running as planned by reason of computer virus, bug, system malfunction, tampering, unauthorized intervention, fraud, technical failures, fire, flood, earthquake, storm or other natural cataclysm, riot, strike, terrorist activity, civil commotion, governmental regulation, or any other causes beyond the control of Sponsor which, in its sole opinion, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion (or any part thereof), Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion, or to thereafter conduct the Promotion in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion.‍

‍

12. GOVERNING LAW AND VENUE: These Official Rules shall be governed by, subject to, and construed in accordance with the laws of the State of California, United States of America, excluding all conflict of law rules. If any provision(s) of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. To the extent permitted by law, the rights to litigate, seek injunctive relief or make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Promotion are hereby excluded, and you expressly waive any and all such rights.‍
