Vanta Qualified Demos Promotion Official Rules

NO PURCHASE OR PAYMENT NECESSARY TO ENTER. VOID WHERE PROHIBITED. THIS PROMOTION IS OPEN TO PERSONS WHO ARE 18 YEARS OF AGE OR OLDER AND ARE RESIDENTS OF THE UNITED STATES OF AMERICA (EXCLUDING PUERTO RICO) OR CANADA WHO ARE ELIGIBLE AS DESCRIBED BELOW. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR REGULATION.

‍The Vanta Qualified Demos Promotion (the “Promotion”) is a program where eligible Vanta prospects may receive one (1) free promotional item if they complete a qualified demo.

‍

1. BINDING AGREEMENT: By entering, you agree to these Official Rules, which form a binding contract between you and Vanta. ‍

IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS, YOU MUST NOT AGREE TO THESE OFFICIAL RULES.‍ ‍SUBJECT TO APPLICABLE LAWS, THIS CONTRACT INCLUDES IMPORTANT LEGAL OBLIGATIONS, INCLUDING, WITHOUT LIMITATION, INDEMNITY OBLIGATIONS (SECTION 8).‍

2. ELIGIBILITY: The Promotion is open to persons who (i) are 18 years of age or older (or the age of legal majority, if older), (ii) are residents of the United States of America (excluding Puerto Rico) or Canada, and (iii) meet the qualification criteria set forth in Section 5, in each case at the time of their participation.

‍

Persons in any of the following categories are NOT eligible to participate: (a) Sponsor’s employees, contractors, consultants, or agents and their respective affiliates, and each of their respective companies, subsidiaries, advertising and promotion agencies; (b) suppliers of goods or services in connection with the Promotion; (c) persons who (i) are in the immediate family of any person in any of the preceding categories (including mother, father, sister, brother, daughter, son, spouse, grandmother, grandfather, children or grandchildren), regardless of where they live, or (ii) reside in the same household, whether related or not, as any person in any of the preceding categories;  (d) persons or entities under U.S. export controls or sanctions. All eligibility is subject to all national, provincial, municipal, territorial, federal, state and local laws and regulations. By participating in the Promotion, you unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of Sponsor, whose decisions shall be final and binding in all respects.  ‍

3. SPONSOR: The Promotion is sponsored by Vanta, Inc. a Delaware corporation with a principal place of business at 655 Montgomery Street, Suite 1600, San Francisco CA, USA. (“Vanta” or “Sponsor”).‍

‍

4. PERIOD: The Promotion begins on or around November 21, 2025 and ends on December 30, 2025 (the “Promotion Period”).‍

‍

5. QUALIFICATION CRITERIA: To qualify, you must meet the eligibility criteria set forth in Section 2, and you must either: (A) (1) be a decision-maker or equivalent at a company with fewer than 200 employees and (2) complete a qualified demo with a Vanta Sales Representative demonstrating genuine intent to evaluate Vanta’s product for business purposes, or (B) (1) be a Director-level or higher decision-maker at a company with 200 or more employees and (2) complete a qualified demo with a Vanta Sales Representative demonstrating genuine intent to evaluate Vanta’s product for business purposes (each, an “Eligible Participant”).

6. ENTRY: To enter, all participants must be Eligible Participants and visit Sponsor’s web page for the Promotion during the Promotion Period, and fill in the required fields on the form with their information (the “Submission”). All contact information provided must be valid, truthful and current. Entries submitted must be received by the close of the Promotion Period. Limit one (1) Submission per natural person, regardless of method of entry. No photocopied or mechanically reproduced entry forms will be accepted. Sponsor and its agents are not responsible for lost, late, incomplete, void, misdirected, unreadable or unintelligible entries; such entries are void and will be disqualified. Only complete valid entries will be accepted. Sponsor reserves the right to disqualify false entries or entries suspected of being false. All entries submitted become the sole property of Sponsor and will not be acknowledged or returned. In the event of a dispute as to the identity of the Eligible Participant for a Submission, the Participant for such submission will be deemed to be the person whose name and relevant information was given at the time of entry. In the event a dispute regarding the identity of a Participant for a Submission cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.

7. REWARD: If Sponsor determines in its sole discretion that a participant is an Eligible Participant, Sponsor will reach out to such Eligible Participant to schedule a meeting including a demo (each, a “Meeting”). Sponsor reserves the right to decline or not respond to any Submissions for any reason. Upon the completion of a Meeting between the Sponsor and an Eligible Participant, such Eligible Participant (the “Selected Participant”) shall be entitled to receive a redemption link via email to claim either (i) one (1) Theragun Mini (approximate retail value: $220), if the Selected Participant is an Eligible Participant described in Section 5(A), or (ii) one (1) AirPods (3rd generation) or Theragun Mini (approximate retail value: up to $220) if the Selected Participant is an Eligible Participant described in Section 5(B), through Sponsor’s gifting platform after completing the demo (the “Reward”). The Reward must be redeemed by the date specified in the redemption email and may be subject to the gifting platform’s terms and conditions. This offer is limited to one gift per company, regardless of the number of demos completed or employees participating. Gifts are non-transferable, non-exchangeable, and not redeemable for cash or credit. Offer void where prohibited. Selected Participants are solely responsible for any applicable taxes. Sponsor reserves the right to modify or end this Promotion at any time. Sponsor reserves the right in its sole discretion to substitute rewards of comparable value if the Reward listed is unavailable, in whole or in part, for any reason. By participating in the Promotion, each participant unconditionally accepts and agrees to comply with and abide by the decisions of the Sponsor, which shall be final and binding in all respects. If the Reward notification or the Reward is returned as undeliverable, or if the Selected Participant does not accept the Reward for any reason, the Reward will be forfeited and will not be re-awarded, in Sponsor’s sole discretion. All activities related to the Reward are at the Participants’ own risk and subject to whatever restrictions are imposed by the entities that govern such activities. Sponsor will not reimburse or replace the Reward if the Reward is no longer accessible or restricted due to local regulations.

8. RESERVATION OF RIGHTS; RELEASE OF LIABILITY AND INDEMNITY

‍

Transmission of Information. Sponsor and its respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Released Parties") are not responsible for lost, late, incomplete, void, misdirected, unreadable or unintelligible entries, which are void and will be disqualified.

Fraud; Reservation of Rights. Sponsor reserves the right to cancel, suspend, and/or modify the Promotion, or any part of it, if any fraud, technical failures, or any other factors impair the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine eligible winners from all non-suspect, eligible entries received up to time of such action or as otherwise deemed fair and appropriate by Sponsor. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Promotion, (b) acting in violation of the Official Rules, or (c) acting in a dishonest, fraudulent, unsportsmanlike or disruptive manner, and to void all associated entries. The preceding remedy in no way precludes Sponsor from taking legal or other actions against such individuals so as to protect its rights. Sponsor’s failure to enforce any provision of these Official Rules in a given circumstance does not constitute the waiver of such provision.

RELEASE AND INDEMNITY. By participating in the Promotion, you hereby release the Released Parties, and agree to indemnify, defend, and hold the Released Parties, and the other persons and entities involved in the development, production, and/or administration of the Promotion, harmless, from any and against all liability for losses, harm, damages, injury, costs, fees, and expenses, including without limitation, property damage, personal injury (including emotional distress), and/or death, arising from participating in the Promotion, any Promotion-related activity, and/or acceptance, receipt, possession or use/misuse of any Reward, and for any claims or causes of action based on publicity rights, defamation, or invasion of privacy and merchandise delivery.

9. PRIVACY: You acknowledge and agree that Sponsor may collect, store, share and otherwise process your personal data processed in connection with the Promotion, including, but not limited to, name, mailing address, phone number, and email address. Sponsor will use this information in accordance with its Privacy Policy (https://www.vanta.com/privacy), including for administering the competition and verifying your identity, postal address and telephone number as part of providing you any applicable prize(s). ‍

10.TAXES: DISTRIBUTION OF PRIZE(S) TO POTENTIAL WINNERS MAY BE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT IT TO COMPLY WITH ALL APPLICABLE STATE, FEDERAL, LOCAL AND FOREIGN (INCLUDING PROVINCIAL) TAX REPORTING AND WITHHOLDING REQUIREMENTS. ALL PRIZES WILL BE NET OF ANY TAXES Vanta IS REQUIRED BY LAW TO WITHHOLD. ALL TAXES IMPOSED ON PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNERS. If a Selected Participant subject to such taxes fails to provide such documentation or comply with such laws, the applicable Prize(s) may be forfeited and Sponsor may, in its sole discretion, select an alternative Eligible Participant to receive the prize. ‍

11. FORCE MAJEURE: If, for any reason, the Promotion (or any part thereof) is not capable of running as planned by reason of computer virus, bug, system malfunction, tampering, unauthorized intervention, fraud, technical failures, fire, flood, earthquake, storm or other natural cataclysm, riot, strike, terrorist activity, civil commotion, governmental regulation, or any other causes beyond the control of Sponsor which, in its sole opinion, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion (or any part thereof), Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion, or to thereafter conduct the Promotion in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion.‍

12. GOVERNING LAW AND VENUE: These Official Rules shall be governed by, subject to, and construed in accordance with the laws of the State of California, United States of America, excluding all conflict of law rules. If any provision(s) of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. To the extent permitted by law, the rights to litigate, seek injunctive relief or make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Promotion are hereby excluded, and you expressly waive any and all such rights.‍
